Services

NoWayySolutions LLC (“we,” “us,” “our”) provides automation builds, AI agent development, and client management systems for businesses. The specific scope of work, deliverables, and timeline for each engagement will be outlined in a separate proposal or agreement.

Payment Terms

• A one-time setup fee is due before work begins on your project.
• Monthly retainer fees are billed at the beginning of each billing cycle.
• All fees are in US dollars unless otherwise stated.
• Late payments may result in a pause of services until the balance is resolved.

Client Responsibilities

To ensure successful delivery, clients agree to:

• Provide timely access to necessary accounts, tools, and information
• Respond to communications and requests for feedback in a reasonable timeframe
• Ensure that any content or data provided to us does not violate third-party rights

Third-Party Integrations & Liability

Our services often involve integrating with third-party platforms and APIs. While we build and configure these integrations with care, we are not responsible for outages, changes, or limitations imposed by third-party providers. We will work to resolve any issues that arise, but cannot guarantee uninterrupted third-party service availability.

Intellectual Property

All systems, automations, and intellectual property created by NoWayySolutions LLC remain the sole property of NoWayySolutions LLC, even when custom-built for a specific client. Upon full payment, clients are granted a non-exclusive, non-transferable license to use the systems built for their business for as long as their engagement or retainer remains active. We will never share or reuse your proprietary data or business logic.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business data, technical specifications, login credentials, and strategic information. This obligation survives the termination of services.

Limitation of Liability

To the maximum extent permitted by law, NoWayySolutions LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the amount paid by the client in the three (3) months preceding the claim.

Termination

Either party may terminate the engagement with 30 days' written notice. Upon termination, any outstanding fees for work completed will be due. We will provide reasonable assistance in transitioning your systems to another provider if requested.

Modifications

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated “Last Updated” date. Continued use of our services after changes are posted constitutes acceptance of the revised terms.

Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions.
